01Acceptance of these Terms
These Terms of Service (the “Terms”) are an agreement between you and Archer Terminal (“Astra”, “we”, “us”). They govern your use of the archerterminal.com website, the Archer Terminal application, and any related services (together, the “Service”).
By creating an account, signing in, or otherwise using the Service you agree to these Terms and to our Privacy Policy. We record the date and time you accept these Terms when you create an account. If you do not agree, do not use the Service.
02Eligibility and your account
You must be at least 18 years old and able to form a binding contract to use the Service.
You are responsible for the accuracy of the information you give us, for keeping your password confidential, and for everything that happens under your account. Tell us at [email protected] right away if you believe your account has been accessed without permission.
We may suspend or close accounts that violate these Terms, that we reasonably believe are compromised, or that are inactive.
03What the Service is
Archer Terminal is research and simulation software. It provides market data displays, quantitative strategy research and backtesting, a risk engine, a simulated (“paper”) trading desk, market intelligence, calendars, and optional notification alerts.
Astra does not provide investment advice. Nothing in the Service, including any signal, score, ranking, backtest, strategy status, risk decision, AI explanation, or alert, is a recommendation to buy, sell, or hold any security, or an offer or solicitation of any kind. We are not a broker-dealer, investment adviser, or fiduciary, and we do not custody funds or securities.
Simulated results have inherent limitations. They are prepared with the benefit of hindsight, do not reflect real trading, and do not account for every real-world cost or constraint. Past or simulated performance does not predict future results.
04Notification alerts and your opt-in
Alerts are optional and require your express consent. Astra can send you notifications about activity in your terminal by SMS text message and by email. You are not required to receive alerts to create an account or to use any other part of the Service, and consent is not a condition of any purchase.
How you opt in. You give consent by ticking the “Send me notification alerts” box on the create-account page, or by enabling alerts later inside the Service. When you tick the box we record your consent and the time you gave it. If you later provide a mobile number for text alerts, providing that number confirms you are its subscriber or customary user and authorizes us to send text messages to it.
What we send. Depending on the alert types you keep enabled, messages may include: paper order fills and exits, risk-engine decisions and kill-switch events, scheduled profit-and-loss summaries at the times you choose, and important account or security notices. Alerts describe what has already happened in your terminal. An alert never places, changes, or cancels an order, and replying to a message does not trigger any trading action.
Frequency, rates, and carriers. Message frequency varies with your settings and market activity. Message and data rates may apply according to your mobile plan. Carriers are not liable for delayed or undelivered messages. Delivery depends on third-party networks and providers and is not guaranteed; do not rely on an alert as your only source of information about an order or position.
How you opt out. You can withdraw consent at any time, and doing so does not affect the rest of your account:
- Reply STOP to any text message from Astra to stop all text alerts. You may receive one final message confirming the opt-out.
- Turn off individual alert types, or all alerts, in the Service’s alert settings.
- Email [email protected] and we will disable alerts for you.
Reply HELP to any text for assistance, or contact us at the address above. We may still send you transactional or security messages that are necessary to operate your account (for example, a password reset you requested), which are not marketing and are not subject to the alert opt-in.
Your responsibilities. Keep your contact details current, and tell us if you give up a mobile number you registered for alerts so we do not message its next owner. Do not register a number you are not authorized to use.
We keep a record of your opt-in and opt-out events, the number or address used, and the messages we sent, as described in the Privacy Policy.
05Paper trading and brokerage connections
The paper desk simulates orders and fills. You may connect a third-party paper-trading account (for example, an Alpaca paper account) by supplying API credentials. When you do, Astra sends simulated orders to that provider on your instruction or under the automatic paper mode you enabled, and reads back balances and fills.
The connected account is yours. Your relationship with that provider is governed by its own terms, and you are responsible for the credentials you supply, for keeping them limited to paper trading, and for any activity in that account. Astra is designed to refuse live-brokerage endpoints, but you must not supply live credentials to the paper connection.
The Service includes controls (such as a kill switch, system modes, and a risk engine) intended to limit unwanted activity. They are safeguards, not guarantees. You remain responsible for every decision to trade.
06Market data and third-party content
Market data, news, calendars, and other third-party content are provided as-is from sources we believe to be reliable but do not verify. Data may be delayed, incomplete, or inaccurate. Third-party content remains the property of its providers and may be subject to their terms.
07Acceptable use
You agree not to:
- Use the Service to violate any law or the rights of others, or to manipulate any market.
- Reverse engineer, scrape, or bulk-export the Service or its data except through interfaces we provide for that purpose.
- Interfere with the Service’s operation, security, or other users’ access.
- Share your account, or use another person’s account without permission.
- Register a phone number or email address you are not authorized to use.
08Intellectual property
The Service, including its software, design, strategies, models, text, and trademarks, is owned by Astra or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your own research in accordance with these Terms. You keep ownership of strategy definitions and notes you create; you grant us the license needed to store, process, and display them to you.
09Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, ITS DATA, OR ANY ALERT WILL BE TIMELY, UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY STRATEGY WILL BE PROFITABLE.
10Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ASTRA AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, LOST DATA, OR COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THAT PERIOD OR ONE HUNDRED U.S. DOLLARS. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11Indemnity
You will defend and indemnify Astra against claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your trading decisions, any account you connect, or your breach of these Terms.
12Termination
You may close your account at any time by contacting us. We may suspend or terminate your access for breach of these Terms or to protect the Service or other users. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnity, and intellectual property) survive termination.
13Changes to the Service or these Terms
We may change the Service, and we may update these Terms from time to time. When we make material changes we will update the effective date above and, where appropriate, notify you in the Service or by email. Continued use after a change means you accept the updated Terms.
14Governing law and disputes
These Terms are governed by the laws of the United States and the state in which Astra is organized, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located there, and you consent to their jurisdiction.
